End User Licence Agreement

1. Agreement to Terms

This End User Licence Agreement ("EULA") is a legal agreement between you ("User" or "you") and Plaudit ("Company", "we", "us", or "our") for the use of Plaudit (the "Software"), accessible at https://www.getplaudit.com. By accessing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not use the Software.

2. Licence Grant

Subject to your compliance with this EULA, Plaudit grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Software for your personal or internal business purposes. This licence does not include the right to sublicence, sell, resell, or commercially exploit the Software or any portion thereof.

3. Account Registration

To use the Software, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

4. Restrictions on Use

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of the Software
  • Reverse engineer, decompile, or disassemble the Software or attempt to derive its source code
  • Use the Software for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorised access to the Software, other accounts, or any related systems or networks
  • Use the Software to send unsolicited or unauthorised communications (spam)
  • Interfere with or disrupt the integrity or performance of the Software
  • Remove, alter, or obscure any proprietary notices or labels on the Software
  • Use automated systems, bots, or scrapers to access the Software without our prior written consent

5. Intellectual Property

The Software, including all content, features, functionality, design, text, graphics, logos, and trademarks, is and shall remain the exclusive property of Plaudit and its licensors. This EULA does not grant you any ownership rights in the Software. All rights not expressly granted herein are reserved by Plaudit.

6. User Content

You retain ownership of any data, content, or materials you submit to the Software ("User Content"). By submitting User Content, you grant Plaudit a non-exclusive, worldwide, royalty-free licence to use, process, and display your User Content solely for the purpose of providing and improving the Service. We will not share your User Content with third parties except as described in our Privacy Policy.

7. Payment and Subscription

Certain features of the Software may require payment. All fees are stated at the time of purchase and are non-refundable unless otherwise specified. We reserve the right to change our pricing at any time, with reasonable notice provided to existing users. Failure to pay applicable fees may result in suspension or termination of your access to paid features.

8. Third-Party Integrations

The Software may integrate with or provide access to third-party services (e.g. Xero, Stripe). Your use of such third-party services is subject to their respective terms and privacy policies. Plaudit is not responsible for the availability, accuracy, or content of third-party services, and your use of them is at your own risk.

9. Disclaimer of Warranties

The Software is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Plaudit does not warrant that the Software will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Plaudit, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Software. Plaudit's total aggregate liability to you for any claims arising from this EULA shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Plaudit and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Software, your violation of this EULA, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your access to the Software at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Software will cease immediately. You may terminate your account at any time by contacting us at hello@getplaudit.com. Sections 5, 9, 10, 11, and 13 shall survive termination of this EULA.

13. Governing Law

This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to This EULA

We reserve the right to modify this EULA at any time. If we make material changes, we will notify you by posting the updated EULA on this page and updating the "Last Updated" date. Your continued use of the Software after any changes constitutes your acceptance of the revised EULA.
